The Court’s A.M. No. 24-10-14-SC establishes a regulatory framework for electronic notarization in the Philippines. The rules recognize accredited in-person Electronic Notarization Facilities (ENFs), Remote Electronic Notarization Providers (ENPs) using secure audio-visual communication, and hybrid workflows.

The standards require multi-factor authentication, preservation of audio-visual recordings, tamper-evident electronic signatures, and the creation of electronic duplicate originals. Notaries must maintain digital registers and transmit duplicate originals electronically to clerks of court. Platforms and service providers must implement retention systems and audit logs that meet the new requirements.

The changes affect Southeast Asian startups that rely on Philippine-notarized documents for U.S. incorporations, investor closings, and cross-border contracts. Corporate services providers, escrow agents, e-signature platforms, and U.S. counsel may also need to update procedures to ensure documents are accepted in American transactions.

For individuals outside the Philippines, remote electronic notarization generally requires appearance at a Philippine Embassy or Consulate.

According to Dmitry Shubov, founder of the firm, compliance now requires documented workflows, vendor review, and audit trails that meet both Philippine court standards and U.S. closing expectations. Early preparation of execution documents may reduce re-execution requests, escrow delays, and transaction disruptions.
